Welcome to the user agreement (the "Agreement" or "User Agreement") for InstantPaySites.com (IPS). 1a) This Agreement describes the terms and conditions applicable to your use of our products and services. You must read, agree with and accept all of the terms and conditions contained in this User Agreement and the Privacy Policy, which include those terms and conditions expressly set out below and those incorporated by reference, before you may become a member of IPS. 2a) BY VIEWING, VISITING, USING, OR INTERACTING WITH THIS WEBSITE(IPS) OR WITH ANY BANNER, POP-UP, OR ADVERTISING THAT APPEARS ON IT, YOU ARE AGREEING TO ALL THE PROVISIONS OF THIS TERMS OF USE POLICY AND THE PRIVACY POLICY OF THIS WEBSITE(IPS). 2b) Certain names, graphics, logos, icons, designs, words, titles or phrases at this website may constitute trade names, trademarks or service marks of IPS or of other entities. The display of trademarks on this website does not imply that a license of any kind has been granted. Any unauthorized downloading, re-transmission, or other copying of modification of trademarks and/or the contents herein may be a violation of federal common law trademark and/or copyright laws and could subject the copier to legal action. 2c) IPS RESERVES THE RIGHT TO DENY ACCESS TO ANY PERSON OR VIEWER FOR ANY REASON. UNDER THE TERMS OF THE PRIVACY POLICY, WHICH YOU ACCEPT AS A CONDITION FOR VIEWING, THE WEBSITE(IPS) IS ALLOWED TO COLLECT AND STORE DATA AND INFORMATION FOR THE PURPOSE OF EXCLUSION AND FOR MANY OTHER USES. 2d) THE TERMS OF USE AGREEMENT MAY CHANGE FROM TIME TO TIME. VISITORS HAVE AN AFFIRMATIVE DUTY, AS PART OF THE CONSIDERATION FOR PERMISSION TO VIEW THIS WEBSITE(IPS), TO KEEP THEMSELVES INFORMED OF CHANGES. 3) Copyrighted Material: The website(IPS) and its contents are owned or licensed by the website(IPS). Material contained on the website(IPS) must be presumed to be proprietary and copyrighted. Visitors have no rights whatsoever in the site content. Use of website content for any reason is unlawful unless it is done with express contract or permission of the website(IPS). 4) Minimum Age: Services are available only to individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, our services are not available to minors. You must be AT LEAST 18 years old to access the IPS website, resources, and services. 5) Earning Disclaimer: Every effort has been made to accurately represent our product and it's potential. Any claims made of actual earnings or examples of actual results can be verified upon request. The testimonials and examples used are exceptional results, and don’t apply to the average purchaser and are not intended to represent or guarantee that anyone will achieve the same or similar results. Each individual’s success depends on his or her background, dedication, desire and motivation. As with any business endeavor, there is an inherent risk of loss of capital and there is no guarantee that you will earn any money. 6) Login Info: Users agree that they will NOT share or distribute their log in information ( Usernames and Passwords) by email, word of mouth, Usenet, Internet or any other method. IPS can, at their sole discretion , terminate membership without notice or refund, any user that shares or distributes login information. IPS does not have access to private password information and therefore cannot/will not be able to supply it to you. You can however, have you're password emailed to you from our system by using the "Forgot Password" feature under on our "Member's Login" page. 7) Liability: In no event shall IPS be liable for any punitive, special, direct, indirect, incidental, or consequential damages, whether arising under contract, warranty, or tort (including negligence or strict liability) or any other theory of liability. Applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages, so the above limitation or exclusion may not apply to you. IPS's liability for damages, regardless of the form of the action, shall not exceed the fee paid for the service. We cannot be held responsible for factors beyond our control that may interfere with our ability to provide access to our website(IPS). Such factors include, but are not limited to server downtime, password/verification problems, or network outages beyond our servers. IPS does not warrant that the functions contained in the materials, resources or services offered will be uninterrupted or error-free, that defects will be corrected, or that this site are free of viruses or other harmful elements. In no event will IPS be liable to any party for any direct, indirect, punitive, special, incidental or other consequential damages arising directly or indirectly from any use of the products or resources contained within the IPS website. All products and resources are provided "as is" and without warranties. 8) Communication Via Email: By joining IPS, you give us permission to contact you periodically via email with regards to your membership. If you wish to no longer receive communications from us, you will need to cancel your membership. If any provision of this agreement is void or unenforceable in whole or in part, the remaining provisions of this Agreement shall not be affected thereby. IPS reserves the right to amend this agreement at any time. 9) Venue: This Agreement shall be governed by and construed in accordance with the laws of the State the head office of IPS is physically located in, without regard to its conflict of laws rules. Any legal action arising out of this Agreement shall be litigated and enforced under the laws of the State where IPS is located. In addition, you agree to submit to the jurisdiction of the courts of the State where IPS is located, and that any legal action pursued by you shall be within the exclusive jurisdiction of the courts of the city and state where IPS is located. 10) Links to other websites: The owner of this website(IPS) is not necessarily affiliated with sites that may be linked to this site and is not responsible for their content. The linked sites are for your convenience only and you access them at your own risk. Links to other websites or references to products, services or publications other than those of IPS and its subsidiaries and affiliates at this website, do not imply the endorsement or approval of such websites, products, services or publications by IPS or its subsidiaries and affiliates. 10) Terms Of Use For Our Affiliate Program: If you edit any of our sales material, or create your own, it must first be approved by us. When promoting the IPS affiliate program, affiliates must adhere to our strict NO SPAM guidelines as stated below. Affiliates must also promote the IPS website in a legal and ethical manner. Affiliates must follow all other terms and conditions as outlined in the user agreement. Failure to do so will result in removal from the program. Affiliate Commissions are paid on a weekly basis. But, the Owner of IPS Holds full rights to delay the payments of commissions due to many un-known reasons. Any action brought by the Federal Trade Commission or other public prosecutorial agency against a user or affiliate for alleged violations of regulations for internet or mail order sales, or commercial email will be automatic grounds for termination of the affiliate's account. You must follow our Anti-Spam guidelines below and those set for in the CAN SPAM ACT of 2003. Failure to follow these guidelines will be cause for removal from the IPS Referral Program. Terms of Use regarding the IPS affiliate program are subject to change. Any changes shall be posted here. 11) Spam Policy: SPAM is a serious problem on the Internet. InstantPaySites.com does not use or tolerate SPAM. Any affiliate that uses SPAM to promote "InstantPaySites.com" will be immediately and forever removed from the affiliate program and will not receive commissions on any sales made.
